How to paint over panelling.

We have panelling in our family room and I have restrained from painting over it because it is a good panelling. However, I am tired of it now and I want to brighten up the room. I would like to know what I have to do to Prime, or whatever the panelling before painting. It there a special paint. I am thinking of only doing the top half and leaving the bottom half wood with a piece of trim in between. What do you think of that. I am thinking of using an earth tone, taupe or something. Please help with this problem.
